• Provide accurate and complete information needed for the project
• Provide timely feedback and approvals as requested
• Supply all content, images, and materials as agreed upon

• Maintain backup copies of your existing website before any work begins

3.3 Timeline and Delays

Project timelines are estimates based on timely client response and content delivery. Delays caused by late feedback, content, or scope changes may extend the project timeline and may affect pricing.

4. Payment Terms

4.1 Pricing

All prices are quoted in USD unless otherwise specified. Prices are valid for 30 days from the date of the proposal unless otherwise stated.

4.2 Payment Schedule

Unless otherwise agreed:

• 50% deposit is required before project work begins
• Remaining 50% is due upon project completion, before final files are delivered
• For larger projects, milestone payments may be arranged

4.3 Late Payments

Invoices are due within 14 days of issue. Late payments may incur additional fees and may result in suspension of work or services.

4.4 Refunds

Deposits are non-refundable once work has commenced. Refunds for digital products are handled on a case-by-case basis within 14 days of purchase if the product has not been downloaded or used.

5. Intellectual Property Rights

5.1 Ownership

Upon full payment, you will own the final deliverables created specifically for your project. We retain ownership of:

• Pre-existing code, frameworks, and tools used in development
• General knowledge, skills, and techniques
• Any third-party components or licensed materials

5.2 Portfolio Rights

We reserve the right to display completed work in our portfolio and promotional materials unless otherwise agreed in writing.

5.3 Third-Party Materials

Some projects may include third-party components (fonts, images, plugins) that are subject to their own licenses. You are responsible for complying with these license terms.

6. Revisions and Scope Changes

The number of revisions included will be specified in your project proposal. Additional revisions or changes to the project scope may incur additional charges at our standard hourly rate.

Significant scope changes may require a new proposal and may affect the project timeline and total cost.

7. Warranties and Disclaimers

7.1 Our Warranty

We warrant that all work will be performed in a professional manner and will function as described in the proposal. We provide a 30-day warranty period after project completion to address any bugs or issues with the delivered work.

7.2 Limitations

We do not guarantee specific results such as search engine rankings, traffic levels, or sales conversions. SEO and marketing results depend on many factors outside our control.

7.3 Disclaimer

Our services are provided "as is" without warranties of any kind, express or implied, except as specifically stated herein. We are not liable for any indirect, incidental, or consequential damages.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the project. This includes business strategies, customer data, login credentials, and any information marked as confidential.

This confidentiality obligation survives the termination of our business relationship.

9. Termination

Either party may terminate a project by providing written notice. In case of termination:

• You will pay for all work completed up to the termination date
• Deposits paid are non-refundable
• We will deliver any completed work for which payment has been received
• All confidentiality obligations remain in effect

10. Limitation of Liability

To the maximum extent permitted by law, Big Techies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claim arising from our services shall not exceed the total amount paid by you for the specific service giving rise to the claim.

11. Website Usage

When using our website, you agree not to:

• Use the website for any unlawful purpose
• Attempt to gain unauthorized access to any part of the website
• Interfere with the website's security features
• Copy, reproduce, or distribute content without permission
• Use automated systems to scrape or extract data
